2. Nature of Services

We provide document preparation, business filing assistance, registered agent services, compliance monitoring, and related support.

  • Not Legal Advice: We are not a law firm, accounting firm, or financial advisory firm. Use of our Services does not create an attorney-client, accountant-client, or fiduciary relationship.
  • Government Availability: All documents we assist in preparing are available directly from government agencies at a lower cost or no cost when self-filed. By using our Services, you acknowledge that you are paying for private preparation and compliance support services in addition to applicable government filing fees.

3. Eligibility & User Obligations

By using our Services, you represent and warrant that:

  • You are at least 18 years of age.
  • You have the legal authority to act on behalf of the entity you are filing for.
  • All information you provide is complete, accurate, and current.

You are solely responsible for:

  • Reviewing all prepared documents before submission.
  • Timely providing signatures, approvals, or required information.
  • Ensuring compliance with all filing deadlines, ongoing reporting, and government requirements.

We are not responsible for penalties, late fees, administrative dissolution, or legal consequences resulting from your failure to provide accurate or timely information.

4. Fees & Payment

  • All service fees must be paid in full at the time of order.
  • Our service fees are separate from, and in addition to, government or third-party fees.
  • Once a filing or service has been initiated, fees are non-refundable, except as explicitly stated in our Refund Policy.

5. Refund Policy

Refund requests are considered in accordance with our published Refund Policy, available on our Site. Certain charges, including but not limited to government filing fees, third-party charges, expedited services, or completed work, are strictly non-refundable.

6. Intellectual Property

All content, software, designs, text, graphics, and logos on the Site are the exclusive property of Florida State Filing LLC or its licensors. Unauthorized reproduction, modification, or distribution of our intellectual property is prohibited.

7. Limitation of Liability

To the fullest extent permitted by law:

  • Florida State Filing LLC shall not be liable for any indirect, incidental, special, punitive, or consequential damages.

  • Compliance responsibility ultimately rests with the business owner.

10. Termination of Services

We may suspend or terminate access to our Services at our discretion, with or without notice, for conduct we believe violates this Agreement or is otherwise harmful to our operations.

11. Governing Law & Jurisdiction

This Agreement shall be governed by and construed in accordance with the laws of the State of Florida. Any disputes shall be resolved exclusively in the state or federal courts located in Leon County, Florida.

12. Modifications to Terms

We reserve the right to modify or update these Terms at any time. Any changes will be posted on this page with an updated 'Last Updated' date. Continued use of the Services constitutes acceptance of such changes.

13. Severability

If any provision of this Agreement is held invalid or unenforceable, the remaining provisions shall continue in full force and effect.

14. Entire Agreement

This Agreement, together with our Privacy Policy and Refund Policy, constitutes the entire agreement between you and Florida State Filing LLC and supersedes all prior agreements or understandings regarding the Services.
